Nielsen Audio Control Panel Reports (“Control Panel Reports”) is a Service (as defined in your agreement with Nielsen) that provides additional information regarding panelists’ quarter hour listening, characteristics and top listeners. The reports will be available monthly, following the standard market release schedule, for Client’s subscribing stations. There is no additional Fee for then-current subscribers to both PPM Analysis Tool and PD Advantage for the applicable market.

Restrictions on Use of Control Panel Reports: The estimates and data in this Control Panel report are provided for internal analytical use by the station(s) subscribing to both PPM Analysis Tool and PD Advantage, subject to the terms of your agreement with Nielsen governing your use of Nielsen Services. The Control Panel Reports should not be duplicated, redistributed, or disclosed to any third party. For the avoidance of doubt, under no circumstance may any station provide this report to a non-subscribing advertiser or station representative, or to any other broadcast station or company regardless of subscriber status, without the express prior written consent of Nielsen.

Liabilities and Limitations of Remedies: THE SOLE AND EXCLUSIVE REMEDY FOR N IELSEN’S LIABILITY OF ANY KIND, AT LAW OR IN EQUITY, INCLUDING WITHOUT LIMITATION FOR NEGLIGENCE OR DELAY WITH RESPECT TO ANY SERVICE, SHALL BE LIMITED TO AN AMOUNT AS SET FORTH IN THE LICENSE AGREEMENT BETWEEN NIELSEN AND ITS SUBSCRIBER.  IN NO EVENT SHALL NIELSEN BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, NOR SHALL NIELSEN BE SUBJECT TO INJUNCTIVE RELIEF WITH RESPECT TO THE DATA AND ESTIMATES PROVIDED BY THE SERVICE.

Reservation of Rights: Nielsen reserves the right to prospectively or reactively change, modify, waive or suspend any aspect of the Control Panel Reports, including any related methodology, policies, reports, or procedures, and/or to implement a new policy or procedure at any time as research considerations or business conditions warrant in Nielsen’s sole judgment. Additionally, Nielsen reserves the right not to produce Nielsen data, and/or listening estimates, and/or any Nielsen report(s) and/or service(s) whenever, in its sole judgment, insufficient data are available to meet its minimum research standards or any event has jeopardized the reliability of the data.

Disclaimer of Warranties: NIELSEN MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS, CONCERNING: DATA GATHERED OR OBTAINED BY NIELSEN FROM ANY SOURCE; THE PRESENT OR FUTURE METHODOLOGY EMPLOYED BY NIELSEN IN PRODUCING NIELSEN DATA, ESTIMATES, REPORTS AND/OR SOFTWARE PROGRAMS; AND/OR THE NIELSEN DATA, ESTIMATES, REPORTS AND/OR SOFTWARE PROGRAMS PROVIDED BY THIS SERVICE. ALL NIELSEN DATA, ESTIMATES, REPORTS AND/OR OTHER ASPECTS OF THIS SERVICE REPRESENT ONLY THE OPINION OF NIELSEN, AND RELIANCE THEREON AND USE THEREOF SHALL BE AT SUBSCRIBER’S OWN AND SOLE RISK. ALL NIELSEN SERVICES ARE PROVIDED ON AN "AS IS-WHERE IS" BASIS AND RELIANCE THEREON AND USE THEREOF SHALL BE AT SUBSCRIBER’S OWN AND SOLE RISK.  IN NO EVENT SHALL NIELSEN BE LIABLE FOR THE FAILURE OF ANY THIRD PARTY TO PROVIDE ANY DATA OR SERVICES IN CONNECTION WITH THE DATA, REPORTS, AND/OR SOFTWARE PROVIDED BY NIELSEN.
